FOUNDING COMPANIES

It is usually possible to register companies under any name, which is not considered undesirable or able to infringe the rights of others. Company registers in the majority of countries reject proposed company names, which include such words as ‘bank’, ‘insurance, trust’, ‘holding’, or ‘royal’ or which require special procedures to be performed prior to the confirmation of the name. In common law countries and, if permitted, in other jurisdictions, a company’s memorandum of incorporation and articles of association are prepared in such a way as to allow the company to engage in any legal kind of activity. In civil law countries, a company’s articles of association are prepared in advance by including a broad spectrum of kinds of activities or prepared by taking into consideration the client’s concrete needs.
